ZenOp Affiliate Program Terms & Conditions

1. Agreement Overview

This Affiliate Agreement ("Agreement") is entered into between ZenOp ("Company", "we", "us") and you ("Affiliate", "you") for participation in the ZenOp Affiliate Program ("Program"). By signing up as an affiliate, you agree to be bound by these terms.

2. Commission Structure

What Qualifies as a Conversion:

• A new customer signs up for ZenOp through your unique affiliate tracking link
• The customer successfully pays their first invoice
• The payment is not refunded or charged back within 30 days

30-Day Clawback Period: Commissions enter a 30-day "clearance period" after the customer's first payment. If the customer requests a refund or initiates a chargeback during this period, the commission will be voided. After 30 days, the commission becomes "payable" and will be included in your next payout.

3. Attribution & Cookie Duration

• Cookie Duration: 30 days from initial click
• Last-Click Attribution: If a customer clicks multiple affiliate links, the most recent affiliate receives credit
• Tracking Link Format: thezenop.com/?src=affiliate_YOUR_ID

4. Payment Terms

• Payout Schedule: Monthly on the 1st (NET 30 from end of previous month)
• Minimum Payout: $100 USD
• Payment Method: PayPal only (you must provide a valid PayPal email)
• Below Minimum: Commissions below $100 will roll over to the next month until the minimum is reached
• Payment Currency: All payments made in USD

5. Prohibited Activities

You agree NOT to:

• Brand Bidding: Bid on "ZenOp", "Zen Op", or any variation of our brand name in paid search campaigns (Google Ads, Bing Ads, etc.)
• Spam: Send unsolicited emails, text messages, or engage in any form of spam marketing
• False Claims: Make false, misleading, or exaggerated claims about ZenOp's products or services
• Unauthorized Discounts: Offer discounts, coupons, or special pricing not explicitly authorized by ZenOp
• Self-Referral: Refer your own business or businesses you have a financial interest in to earn fraudulent commissions
• Cookie Stuffing: Use automated scripts, iframes, or other techniques to artificially inflate tracking metrics
• Trademark Infringement: Use ZenOp's trademarks, logos, or brand assets without prior written approval

6. FTC Disclosure Requirements

You must comply with the Federal Trade Commission's (FTC) Endorsement Guides. This includes:

• Clearly and conspicuously disclosing your affiliate relationship with ZenOp
• Using hashtags like #ad, #affiliate, or "Affiliate Link" when promoting ZenOp
• Ensuring disclosures are placed where they can't be missed (not buried in "Show More")

7. Intellectual Property

All ZenOp trademarks, logos, and brand materials remain the exclusive property of ZenOp. You may use approved marketing materials provided in your affiliate dashboard for promotional purposes only. You may not:

• Modify ZenOp logos or brand assets
• Use ZenOp's brand in a way that implies endorsement of your business
• Register domains containing "ZenOp" or variations

8. Termination

By Either Party: This Agreement may be terminated by either party at any time with or without cause.

Effect of Termination:

• Your tracking links will be immediately deactivated
• Commissions in "payable" status will be paid on the next scheduled payout date
• Commissions in "pending_clearance" or "fraud_review" status may be voided at our discretion
• You must immediately cease all promotional activities using ZenOp's brand and materials

Termination for Cause: We reserve the right to immediately terminate your account and forfeit all pending commissions if you violate any term of this Agreement.

9. Tax Responsibilities

You are responsible for all taxes on commissions earned. If you earn $600 or more in a calendar year, we will issue Form 1099-NEC as required by U.S. tax law. You may be required to provide your Social Security Number (SSN) or Employer Identification Number (EIN).

10. Limitation of Liability

ZenOp is not liable for:

• Lost commissions due to technical issues, tracking errors, or system downtime
• Delays in payment processing due to PayPal or third-party payment processors
• Commissions voided due to customer refunds or chargebacks
• Any damages arising from your promotional activities

11. Relationship of Parties

Your relationship with ZenOp is that of an independent contractor, not an employee, partner, agent, or joint venturer. You have no authority to bind ZenOp to any agreement or create any obligation on ZenOp's behalf.

As an independent contractor, you are solely responsible for:

• All taxes on commissions earned (federal, state, and local)
• Your own business insurance and licenses
• Your own equipment, internet, and business expenses
• Determining how, when, and where you promote ZenOp

12. Indemnification

You agree to indemnify, defend, and hold harmless ZenOp and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with:

• Your breach of any term of this Agreement
• Your promotional activities or marketing materials
• Any claim that your content infringes on a third party's intellectual property rights
• Your violation of any law or regulation, including privacy laws or FTC guidelines
• Any harm caused to third parties through your referral activities

13. Data Protection & Privacy

You must comply with all applicable data protection and privacy laws, including but not limited to GDPR (EU), CCPA (California), and other state and federal privacy regulations.

You agree to:

• Only collect, use, or share personal data necessary for referral tracking
• Maintain appropriate security measures for any data you collect
• Not sell, rent, or share customer data with third parties
• Promptly notify ZenOp of any data breach or privacy complaint
• Comply with all data subject rights requests (access, deletion, etc.)

Violations of data protection laws may result in immediate termination and you will be liable for any regulatory fines or penalties imposed on ZenOp.

14. FTC Compliance & Audit Rights

Beyond the disclosure requirements in Section 6, ZenOp reserves the right to audit your promotional materials and activities at any time to ensure FTC compliance.

You agree to:

• Provide copies of promotional materials upon request
• Allow ZenOp to review your marketing channels (social media posts, ads, emails)
• Immediately correct any non-compliant materials when notified
• Cooperate with any FTC investigation related to your promotional activities

Failure to comply with FTC guidelines or refusal to cooperate with an audit may result in immediate suspension and forfeiture of pending commissions.

15. Confidentiality

You agree to keep confidential all non-public information about ZenOp, including but not limited to:

• Business strategies and marketing plans
• Upcoming features or product roadmaps
• Pricing strategies not publicly available
• Customer data or business metrics
• Commission rates for other affiliates

This confidentiality obligation continues indefinitely, even after termination of this Agreement. Unauthorized disclosure may result in legal action for damages.

16. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Delaware. You hereby consent to personal jurisdiction and venue in these courts and waive any objection based on inconvenient forum.

17. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be determined by binding arbitration administered by the American Arbitration Association (AAA) pursuant to its Commercial Arbitration Rules.

• Arbitration will take place in Delaware or via video conference
• Each party will pay their own costs and attorney fees
• The arbitrator's decision is final and binding
• Judgment on the award may be entered in any court of competent jurisdiction
• This arbitration clause does not prevent either party from seeking injunctive relief in court for IP infringement or confidentiality breaches

18. Warranty Disclaimer

THE AFFILIATE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

ZenOp makes no warranties regarding:

• The profitability or success of your affiliate activities
• The availability or uptime of tracking systems
• The accuracy of tracking data or commission calculations
• The continued operation of the Affiliate Program

ZenOp disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.

19. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued participation in the Program after changes constitutes acceptance of the modified terms.
